The Commercial & Conveyancing Department
The Commercial and Conveyancing Transactions Department provides a wide range of advisory and transactional services to clients, including undertaking due diligence, registration of companies, trusts, NGOs, Business Names, societies, and churches. We also advise on restructurings of corporate bodies.
We offer sound advice to our clients in all Conveyancing transactions, including registration of transfers; conveyances; leases; sub-divisions; charges; chattels mortgages; debentures; Escrow Account Agreements; Deed of Assignment of Rental Income; Deed of Guarantee and all documents in relation to perfection of securities on behalf of Banks, Micro-finance institutions, Saccos and other financial institutions.
We offer advisory services to developers relating to approvals required before and during ongoing real estate projects. We liaise with various professionals such as land valuers, surveyors, architects, environmental experts, and planners to ensure our clients are well informed on various requirements. We also undertake a change of user, an extension of Government Leases, partition, transmission, apportionment of land rates, and rent and processing of Government Leases on the behalf of our clients.
This department also provides legal services in the enforcement of intellectual property rights such as trademarks, patents, industrial designs, utility models, and copyrights. We undertake the registration of trademarks and patents on behalf of our clients at the Kenya Industrial Property Institute.
We act as corporate advisers to a large number of businesses and corporations, both Kenyan and international. In this capacity, we are called upon to advise on a wide range of matters, which affect our clients’ day-to-day business. These areas varied as incorporation and start-up, corporate and management structures and shareholding, employment law, licensing and regulatory, financing issues, environmental compliance matters, and sales and acquisition.
We also conduct legal and compliance audits for our corporate clients.
